Mason Foodservice Company Terms and Conditions. 

Trading Terms 

1 Definitions 
1.1 The Company means Mason Foodservice Ltd  
1.2 The Customer means any person, firm or other legal entity which places an order or buys any product from the Company. This included employees, agents, or sub-contractors of any such person, firm, company or other legal entity. 
1.4 Food means any food or beverage. 
1.4 Non-food means any goods that are not food. 
1.5 Contract means a contract between the Company and the Customer for the sale and purchase of products. 
1.6 Products means any Food or Non-food agreed in the contract to be supplied by the Company to the Customer. 
1.7 Terms and Conditions means these terms and conditions of sale. 
1.8 Statutory Interest means statutory interest as defined in Late Payment of Commercial Debts (interest) Act 1998.1.9 Cash means Monetary consideration UK bank notes and UK bank coins. Cheque means bank cheque, bank draft, direct debit, standing order. 

2 These Terms & Conditions
shall be incorporated into the contract and shall apply in place of and prevail over any terms and conditions verbally communicated or implied by custom practice. The company reserves the right to amend or update the current Terms & Conditions and notify the Customer of these changes. 

3 Placing an order 
3.1By placing an order with the Company either via the Company’s telesales department or the Company’s website if available the customer is offering to contract with the Company based on these Terms & Conditions. The parties are bound by the contract only when the Company accepts and processes the order or delivers the Products to The Customer, which occurs earlier. The contract is subject to availability of the stock. Abusive behaviour from Customer to Company’s telesales staff will not be tolerated; the Company reserves the right to refuse such Customer. The Customer’s last order for telesales is 3.30pm, to be processed for the next available delivery date. 
3.2 Companies account details registered address, companies house registration number, VAT number and created account reference are managed by Mason Foodservice. A change in company details as stipulated above require a new account being opened and Mason Foodservice notified of the change. Companies may operate a maximum of 3 accounts at anyone time unless prior approval has been given.

4 Minimum order 
The Company minimum order value is £35 carriage. The Company reserves the right not to deliver an order which is valued at less than the latest published minimum order value. Our minimum order for free delivery within our delivery area is £35 excluding VAT orders under this amount will incur a £2.50 delivery charge. Orders under £18 excluding VAT will incur a charge of £7.50 

5 Deliveries 
5.1 Deliveries of Product to the Customer shall be in accordance with Company’s delivery schedule. 
5.2 The Company will not tolerate any abusive behaviour by the Customer towards its drivers and helpers. The Company reserves the right to refuse to deliver to such a customer. 
5.3 The Company shall not be liable for any loss or damage whatsoever arising because of failure to deliver products by a particular date or arising because of any causes beyond the Company’s control. 
5.4 The delivery of Products shall be made by the Company reasonable access to such premises as the Customer shall reasonably require. The Customer shall allow the Company reasonable access to such premises and shall use best endeavours to ensure that a responsible person shall be at the place to receive and sign off the delivery of the Products. 
5.5 Customers must check of delivery and sign for goods with the Mason Foodservice driver at time of delivery. 
5.6 If the Customer fails to take delivery or fails to give the Company adequate delivery instructions at the time stated for delivery then without prejudice to other right or remedy available to the Company then the Company must do one or more of the following; a)Charge the Customer the cost carriage of the refused delivery both to and from the premises of the Customer in addition to the Company’s administration and re-stocking charges b)Charge full price for perishable items Charge the Customer a re-scheduling delivery charge. 
5.7 Shortages: Shortages should be registered at the time of delivery to the Company driver. The Customer will sign off the delivery note, highlighting the shortages. This must be countersigned by the driver. 
5.8 Companies must notify Mason Foodservice if they cease trading or struggle to repay debts. All ceased accounts must establish a new account with Mason Foodservice in writing prior to placing new orders
5.9 Debts can be paid for with payment plans if suitable to Mason Foodservice
6.0 Online order payments will be put against outstanding debts or account balances prior to paying for goods ordered at time.

6 Risk & Ownership 
All risks in the products passes to the Customer on delivery. Ownership of the products delivered to the Customer remain with the Company until the products are fully paid for. 

7 Warranties: 
The Company Warrants that all food and Non-food products shall comply with the Food Safety Act 1999 and all relevant UK legislation from time to time in force. 

8 Price  
Contract price is the order price, any offers are subject to availability and the prices quoted or shown on the Company literature is exclusive of VAT 20% where applicable. The Company reserves the right to vary or alter product specification and price without prior notice. 
8.1 the prefix of MP show in place of a price, states that the product is subject to change in price due to (MP) Market Price. 

9 Account terms 
Initially all new accounts will be set as C.O.D. Cash on Delivery. For a minimum period of three months, the Customer thereafter may apply for Direct Debit, Cheque on Delivery, or a credit account. Pending decision and subject to references and cross references with the Credit Agency, the Customer will continue with the current terms. All accounts must be paid on the 15th of the month for the prior month’s invoices. 
9.1 New customers must pay first order in full upfront.  

10 Payments 
10.1 The Customer must settle accounts in accordance with agreed terms. In the event of a customer being in arrears, we reserve the right to withhold any further supplies. The Company reserves the right to charge statutory interest on overdue balances for the period from the date on which the payment was due. 
10.2 If a company ceases to trade, they must settle any outstanding debt prior to the company closing. Mason Food service must be notified by the company which ceases to trade in writing failure to do so will result in future payments being used to pay outstanding debts. Ceased companies’ account & login details will be locked by Mason Foodservice.
10.3 In the event of any cheques, standing orders or bacs payments due from a Customer to the Company being dishonoured, a charge of thirty pounds (or such other sum as the Company may from time to time advise the Customer) will be made on the Customer’s Account to cover the bank and administrative costs.
10.4 If the company owes an outstanding balance older than 90 days. Orders which are paid for online will not be dispatched and payments will be allocated against the outstanding debt until the debt is paid in full.
10.5 Confirmation emails for goods does not mean you will receive the stated goods. Goods will be withheld if a balance is outstanding on the account. 
10.6 Companies which go into liquidation, are dissolved or receivership must notify Mason Foodservice by written notice. This will be confirmed and acknowledged by Mason Foodservice in writing to the company. The company must enable Mason Foodservice the opportunity to enforce ROT. Companies must notify Mason Foodservice of creditors meeting and advise of submission of outstanding debt to the liquidator or accountant. Failure to do this will result in Mason Foodservice pursuing the debt via legally appointed bailiffs.
10.7 For credit account Customer any none or late payment, will be considered as a breach of the agreed terms, will render credit terms null and void. Customers account will be put on hold, the Company has right to start legal proceedings to recover any outstanding amounts without any prior notice and the right to exchange information with credit agencies. 
10.8 Maximum cash coins payment allowed by one Customer is £60. 

11 Returns  
the Company will only credit the customer if the wrong product was delivered or damaged and returned by the same Company delivery driver on the same day or prior agreement with the Mason Foodservice telesales team.  

M.P. (Market Price) This is the abbreviation used to show when the price is not fixed and subject to fluctuation in price 
Ptn (Portion) this is a term used to state the number of portions the product contains.  
ml (Millilitres) the is the abbreviation used to show this measurement.  
ltr (Litters) this is the abbreviation used. 1 Litter is an equivalent to 1.75 pints or 35.19 fluid ounces. 
g (Grams) the is the abbreviation used to show the pack weight. 
kg (Kilo grams) the is the abbreviation used to show the pack weight.
